OUTSTANDING 5.75% NOTES DUE 2025
October 15, 2024 - JSC Development Bank of Kazakhstan (the "Offeror"), a joint
stock company organised in the Republic of Kazakhstan, announces the launch
of its offer to purchase for cash any and all of the outstanding 5.75% Notes due
2025 (the "Notes") issued by the Offeror (the "Tender Offer") from each Holder
(as defined in the Offer to Purchase), upon the terms and subject to the
conditions set forth in the offer to purchase dated 15 October 2024 (the "Offer
to Purchase"). Capitalised terms used but not defined herein have the meanings
set out in the Offer to Purchase. Copies of the Offer to Purchase are
available, subject to registration and eligibility confirmation, from the

The Tender Offer will expire at 5:00 p.m., New York City time, on 13 November
2024, unless extended or earlier terminated. Holders who tender their Notes may
withdraw such Notes at any time prior to 5:00 p.m., New York City time, on 28
October 2024. Holders who tender their Notes for repurchase may withdraw such
Notes at any time, but not later than 5:00 p.m. New York City time on October
28, 2024 (which time and date may be extended, the "Note Withdrawal Deadline").
To receive the Aggregate Note Consideration (as defined below), which includes
an early bird premium of $30.00 for each $1,000 principal amount of Notes
accepted for repurchase pursuant to the Tender Offer (the "Early Bird Premium"),
Holders must submit a valid tender and must not withdraw their Notes by 5:00
p.m. New York City time on October 28, 2024, unless such time is extended (as
such time and date may be extended, the "Early Bird Deadline"). Holders who
tender their Notes in due course after the Early Bird Period but no later than
the end of the Note Tender Period will be entitled to receive only the Note
Tender Fee (as defined herein), which is an amount equal to the Aggregate Note
Consideration less the Early Bird Premium.
