/KASE, May 12, 2026/ – National Company "QazaqGaz" JSC (KASE ticker – KZTG) announces the following:

On April 27, 2026, National Company "QazaqGaz" JSC (the "Offeror") hereby announces an invitation to the holders (the "Holders") of the US$750,000,000 4.375% Guaranteed Notes due 2027 (the "Notes"), issued by the Offeror and guaranteed by the Guarantor (as such term is defined in the Tender Offer and Consent Solicitation Memorandum dated April 27, 2026 (the "Memorandum")), subject to the applicable offer and distribution restrictions set forth below, to tender for purchase by the Offeror for cash any and all of their Notes (the "Tender Offer") and, concurrently, to consent to certain amendments to the terms and conditions of the Notes and the Trust Deed governing the Notes by way of an extraordinary resolution (the "Extraordinary Resolution") (the "Proposal", and together with the Tender Offer, the "Offer").
The Offer is being made on the terms and subject to the conditions set forth in the Memorandum. Copies of the Memorandum are available from the Tender and Tabulation Agent, whose contact details are provided below. Capitalized terms used but not defined in this announcement shall have the meanings assigned to them in the Memorandum. As of the Early Participation Deadline – 5:00 p.m. (New York City time) on May 12, 2026 – the Offeror has received Tender Instructions and Voting Instructions in respect of the Notes in the following amounts:

The Offeror expects, subject to the terms and conditions set forth in the Memorandum, to make payment of (i) the Total Consideration together with Accrued Interest in respect of all Notes validly tendered at or prior to the Early Participation Deadline and accepted for purchase under the Tender Offer, and (ii) the Early Consent Fee in respect of the Notes for which Voting Instructions in favor of the Proposal were received at or prior to the Early Participation Deadline, on May 20, 2026.
The Tender Offer will expire at 5:00 p.m. (New York City time) on May 26, 2026, unless the Offer is extended or earlier terminated as provided in the Memorandum. Holders who consent to the Proposal without tendering their Notes for purchase are entitled to submit their Voting Instructions until 5:00 p.m. (New York City time) on May 15, 2026.
