DEVELOPMENT BANK OF KAZAKHSTAN JSC ANNOUNCES TENDER BIDS RECEIVED BEFORE THE
DEADLINE FOR COLLECTION OF EARLY BIDS UNDER THE TENDER OFFER FOR BUYBACK OF OWN
BONDS WITH COUPON RATE 2.95 % APR, SUBJECT TO REDEMPTION IN 2031, FOR A TOTAL
AMOUNT OF PRINCIPAL DEBT OF UP TO USD300,000,000, WITH PAYMENT OF INTEREST IN
CASH FOR BONDS BEING REPUCHASED
On September 7, 2022, Development Bank of Kazakhstan JSC (the "Offeror"), a
joint-stock company incorporated in the Republic of Kazakhstan, announced the
launch of an Offer to Buyback ("Tender Offer") the Bonds with a coupon rate of
2.95% per annum and a maturity of 2031 (Regulation S ISIN: XS2337670694;
Rule 144A of ISIN/CUSIP: US25159XAD57/25159XAD5) issued by the Offeror
("Bonds"), with interest paid for the redeemable Bonds in cash, for a total
principal amount of up to US$300,000,000 ("Maximum Tender Offer amount").
The Tender Offer is made in accordance with the terms and conditions set forth
in the Tender Offer dated September 7, 2022 (the "Purchase Offer"). Capitalized
terms used in this announcement shall have the meanings given in the Purchase
Offer.
As of 17:00 o’clock, New York City time, on September 20, 2022 (the "Early Bids
Collection Deadline"), the Bonds were duly offered (and not revoked) for buyback
for a total principal amount of the Bonds of US$214,041,000. Since the total
principal amount of the Bonds duly offered for buyback and not withdrawn by the
Early Bids Collection Deadline is less than the Maximum Tender Offer Amount,
the Offeror intends to accept all such Bonds for buyback (without apportioning
the number of Bonds to be repurchased among the Holders).
The Tender Offer will expire at 23:59 o’clock, New York City time, on October 4,
2022 (the "Tender Offer End Date") unless the offer is renewed or terminated
early. Bids withdrawal deadline expired at 17:00 o’clock, New York City time, on
September 20, 2022.
