ForteBank reports payment of the tenth coupon and full early redemption of Eurobonds XS1153772725, XS1154028200 (ASBNe14)

/KASE, December 23, 2019/ – ForteBank (Nur-Sultan), whose securities are officially
listed on Kazakhstan Stock Exchange (KASE), has informed KASE as follows:

ForteBank (hereinafter, the Bank) hereby reports in respect of Eurobonds
XS1153772725 (XS1154028200, ASBNe14) issued on December 15, 2014 for the amount
of $236,570,000 at 11.75 % with the maturity term in 2024 (hereinafter, the Bonds)
that the Bank fully redeemed 236,570,000 pieces of Bonds with the Bank’s option*
on December 16, 2019 with the value date on December 15, 2019**.
The amount of early redemption of the Bonds was US $111,200 476.05, which
represents 108 per cent of the outstanding principal debt on 164,741,446 pieces
of oustanding Bonds (US $102,963,403.75).
In addition to early repayment of the principal debt on the Bonds, the following
payments were made for the total amount of US $16,950,350.34:
1) US $6,654,009.97 – payment of the tenth coupon interest for the period from
June 15, 2019 to December 15, 2019, 180 days;
2) US $10,296,340.37 – the sixth repayment of a portion of the principal debt
repaid in 16 equal shares under the terms of the Bond issue.
* According to subparagraph (c) of Appendix 4 to the Fiduciary Management Agreement
concluded between the Bank and BNY Corporate Trust Services Limited dated December
15, 2014
** The bonds have been fullly redeemed on the Second Interest Payment Date in
2019, which is due on December 15, 2019. Due to the fact that the Second Interest
Payment Date in 2019 falls on a non-working day as defined in subparagraph (f) of
paragraph 7 of Appendix 4 of the Fiduciary Management Agreement, the redemption
was made on December 16, 2019 with the value date on December 15, 2019.
*** The Bank bought back 71,828,554 pieces of Bonds as at maturity date worth the
amount of the principal debt of US $44,892,846.25. There were no payments on own
repurchased securities.
