/KASE, September 12, 2019/ – Zhairem Mining and Concentrating Complex (Karagandy region), whose shares are officially listed on Kazakhstan Stock Exchange (KASE), has informed KASE about decisions of its sole shareholder dated August 31, 2019:

• to approve annual financial statements of the company for 2018;
• to retain the company's net income for 2018, not to pay out dividends on ordinary shares, not to approve the amount of dividend per ordinary share;
• to pay out guaranteed dividends on preferred shares based on the company's operating results for 2018 financial year at KZT85.59 per preferred share of the company;
• to set the date of start of payment of dividends on preferred shares on September 16, 2019;
• to take note of the information on absence of shareholders' appeals against actions of the company and its executives in 2018;
• to take note of the information about the amount and structure of remuneration to members of the company's Board of Directors and executive body.
