/KASE, December 10, 2025/ – National Company KazMunayGas JSC (KASE ticker – KMGZ) reported the following:

December 8, 2025 – NC KazMunayGas JSC ("the Issuer"), KazMunaiGaz Finance Sub B.V. ("KMG Finance" and, together with the Issuer, "the Offering Parties") announce today the preliminary results of their previously announced offers to purchase for cash the circulating: (i) Bonds with 5.75% rate with maturity in 2047; and (ii) Bonds with 6.375% rate with maturity in 2048 (collectively referred to as "the Bonds", and such offers as "the Tender Offers", each of which is "a Tender Offer").

The Offering Parties are making two separate Tender Offers, each on conditions set forth in the purchase offer dated November 21, 2025 ("the Purchase Offer"). The tender offers will expire at 17:00 New York City time on December 19, 2025 (“the Expiration Period”). Any beneficial owner whose Bonds are registered in the name of a Depository or held through the Clearing Systems and who wishes to tender their Bonds prior to the expiration date must promptly contact such Depository and instruct such Depository to tender their Bonds on behalf of such beneficial owner. A cover letter in connection with tender offers is not required. Holders that hold Bonds through DTC and wish to tender their Bonds prior to the expiration date should note that such Holders must allow sufficient time for completion of the ATOP procedures during DTC's normal working hours.
