MOODY'S UPGRADES ATF BANK (KAZAKHSTAN) TO BAA2/P-2 FROM BA1/NP Rating action follows completion of acquisition by Bank Austria Creditanstalt Moscow, November 19, 2007 - Moody's Investors Service today upgraded the long-term local currency deposit and senior unsecured debt ratings of ATF Bank to Baa2/Prime-2 from Ba1/Not Prime and its junior subordinated debt rating to Ba1 from Ba3. The outlook on all ratings is stable. Moody's today also affirmed ATF Bank's Ba1/Not Prime long- and short-term foreign currency deposit ratings and its D- bank financial strength rating ("BFSR") with stable outlook. The foreign currency deposit ratings are constrained by Kazakhstan's Ba1/Not Prime ceiling, with stable outlook, for such deposits and are expected to follow any future movements in this ceiling. These rating actions conclude the review process that was initiated on 3 July 2007 following the announcement by Bank Austria Creditanstalt AG ("BA- CA", rated Aa2/P-1/C+), which is responsible within UniCredit Group for commercial banking activities in Central and Eastern Europe, that it has signed a share purchase agreement with private shareholders to acquire a majority shareholding in ATF Bank. This transaction has now been completed as BA-CA has finalised the acquisition of 91.8% of the total issued share capital of ATF Bank. The upgrade of ATF Bank's local currency deposit and debt ratings is based on Moody's assumptions regarding UniCredit Group's strong commitment to AFT Bank and the high probability that it would provide support to it in case of need. Moody's expects that the integration of ATF Bank into UniCredit Group will result in positive developments in the areas of corporate governance and risk management that would in turn enhance the bank's intrinsic strengths, thus exerting upward pressure on its Baseline Credit Assessment ("BCA"). At present, ATF Bank's D- BFSR maps to a BCA of Ba3. Based in Almaty, Kazakhstan, ATF Bank reported total assets of KZT961 billion (USD7.9 billion) as of 30 June 2007, ranking as the fifth-largest bank in the country. Bank Austria Creditanstalt is based in Vienna, Austria, and is the largest bank in the country with total assets of EUR203 billion as of 30 June 2007. London Reynold R.
