MOODY'S ASSIGNS BAA1 RATING TO HALYK BANK'S SENIOR NOTES Rating outlook is stable Moscow, April 17, 2007 - Moody's Investors Service has assigned a long- term rating of Baa1 to the senior unsecured foreign currency notes expected to be issued by HSBK (Europe) B.V., a Netherlands-based special-purpose company wholly owned by Halyk Bank (Kazakhstan). The issue will be unconditionally and irrevocably guaranteed by Halyk Bank, which is the ultimate obligor under the transaction. The amount will be determined by market conditions, while the tenor is likely to be in the range of seven to ten years. The outlook for the rating is stable. According to the terms and conditions of the notes, Halyk Bank must comply with a number of covenants such as negative pledge, limitations on merger and consolidation, limitation on certain transactions, and limitation on payment of dividends, among others. Moody's notes that, while the likelihood that any of the above-mentioned covenants being breached is relatively low at the present time, any such occurrence could potentially have adverse liquidity implications for the bank and might exert downward pressure on its ratings. Halyk Bank is headquartered in Almaty, Kazakhstan. According to its audited IFRS financial statements for 2006, the bank reported total consolidated assets of KZT991.4 billion (US$7.8 billion) and total shareholders' equity of KZT120.6 billion (US$947 million) as at 31 December 2006.
