MOODY'S ASSIGNS BAA1 RATING TO KAZKOMMERTS' SENIOR NOTES Moscow, January 31, 2007 - Moody's Investors Service has assigned a long- term foreign currency debt rating of Baa1 to the upcoming drawdown of senior unsecured notes issued under the US$3 billion Guaranteed Debt Issuance Programme of Kazkommerts International B.V. These notes will be unconditionally and irrevocably guaranteed by JSC Kazkommertsbank (Kazakhstan) (KKB) and will represent unsubordinated and unsecured obligations of the Issuer and the Guarantor. The amount, tenor and the price of the notes will be determined by market conditions. The outlook for the rating is stable. Moody's notes that according to the terms of the programme, Kazkommerts International B.V. and KKB will have to comply with a number of covenants such as negative pledge and a limitation on certain transactions. KKB will also have to comply with limitation on payment of dividends. Moody's notes that the level of the rating reflects the important role KKB plays in the country's economy. KKB is the largest bank in Kazakhstan, and has been able to develop an important franchise in the domestic market. The rating agency regards the likelihood of KKB receiving support from the Kazakh financial authorities in case of distress as very high, and as the primary driver of the rating. KKB is headquartered in Almaty, Kazakhstan, and reported unaudited total assets of KZT1,492 billion (US$11.65 billion) and total shareholders' equity of KZT121.8 billion (US$951.5 million) under IFRS as at 30 September 2006.
