/KASE, October 9, 2024/ – NMH "Baiterek" JSC (Astana), whose bonds are
officially listed on Kazakhstan Stock Exchange (KASE), has informed KASE
about the following:

NMH "Baiterek" JSC and Lesha Bank LLC (Public) announce the completion of
the transaction for the sale of 100 % of shares of Bereke Bank JSC. All terms of
the agreement were successfully agreed upon by the parties. The transaction
received all the necessary approvals from Kazakhstan's regulators, including the
consent of the Agency for Regulation and Development of the Financial Market
(ARDFM), issued in August for Lesha Bank to receive the status of a banking
holding company and permission to acquire Bereke Bank.
Bereke Bank JSC is one of the largest banks in Kazakhstan and will continue to
fulfill all its obligations to clients. The bank maintains current terms for
products for existing clients and will continue its activities as a commercial
universal bank. At the moment, the bank demonstrates stable growth, observing
the established standards for capital adequacy and liquidity. After the change
of shareholder, it is planned to further strengthen the bank's position in the
market.
