an auditor's report on the company's consolidated financial statements for
2020.

The audit of the consolidated financial statements of the company for 2020 was
carried out by Moore Stephens Kazakhstan LLP. According to the auditor's
report, which contains a qualified opinion, the consolidated financial
statements faithfully reflect, in all material respects, the financial position
of ALTAY RESOURCES JSC and its subsidiary as of December 31, 2020, as well as
the results of their economic activities and cash flows for the year ended on
the specified date, in accordance with IFRS.
