JOINT-STOCK COMPANY "KAZTRANSGAS" (the "COMPANY") ANNOUNCES FINAL RESULTS OF THE
OFFER FOR REPURCHASE OF BONDS ISSUED IN THE AMOUNT OF USD750,000,000 WITH A YIELD
OF 4.375% AND MATURITY IN 2027 (BONDS), ISSUED UNDER A GUARANTEE OF "INTERGAS
CENTRAL ASIA" ("GUARANTOR") FOR CASH IN THE AMOUNT TO THE MAXIMUM OFFER AMOUNT
UNDER THE REPURCHASE OFFER.
The company announces final results of sell orders submitted on its offer to
repurchase Bonds for cash (the "Offer") in the amount of up to USD100,000,000
of the principal amount of the debt on the Bonds ("Maximum Offer Amount").
Capitalized terms used, but not determined in this announcement, have the meanings
given to them in the conditions of the Offer set out in the Repurchase Offer dated
April 16, 2020 ("Repurchase Offer"). A copy of the Repurchase Offer can be
obtained, taking into account the limitations of its distribution, from the Bond
Repurchase Agent.
As of 11:59 o'clock, New York time, May 13, 2020 ("Offer Validity Period"), under
the Offer, bonds for the principal amount of USD43,680,000 were suggested for
repurchase and were not withdrawn in the prescribed manner including Bonds for
the principal amount of US $300,000 that were submitted in the prescribed manner
after 17:00 o’clock New York time, April 29, 2020 (End time for acceptance of
early offers).
