Exxon Mobil Corporation and XTO Energy Inc. announced about merger

/IRBIS, December 15, 09/ - Exxon Mobil Corporation and XTO Energy Inc.
announced a deal on merge the companies with worth $ 41 billion, -added in a
statement issued by ExxonMobil on December 14.
In accordance with the terms of the agreement, approved by the boards of
directors of both companies, ExxonMobil has agreed to issue 0.7098 common
shares for each share of XTO. This is 25% premium for shareholders of XTO.
The sale price includes $ 10 billion of existing debt and XTO is based on the
value of ExxonMobil shares of XTO and at the close of markets on December 11,
2009.
"XTO is a leading U.S. producer of unconventional natural gas, with an
outstanding resource base, strong technical expertise and qualified staff.
Strengths of XTO are global in scale and financial capacity, which should help
to develop additional supplies of unconventional oil and gas resources in the
interests of consumers, such as here in the United States and around the world,
the message given in the words of Rex Tillerson, Chairman and CEO of
ExxonMobil.
Tillerson also said that the agreement is good news for the United States
economy and energy security as well as expand opportunities for job creation and
investment in the production of its own American clean burning natural gas.
Resource base XTO equivalent to 45 trillion. cubic feet of gas, including shale
gas, tight gas, coalbed methane and shale oil. They will supplement the reserves
of ExxonMobil in the United States, Canada, Germany, Poland, Hungary and
Argentina.
After closing ExxonMobil intends to create a new vertically integrated
organization to manage the global development and production of unconventional
resources. The new organization will be located in Fort Worth, Texas, in the
current office XTO.
Completion of the transaction is expected in the second quarter of 2010. In this
transaction J.P.Morgan Securities Inc. acting as financial advisor to ExxonMobil,
Barclays Capital Inc. and Jefferies & Company Inc. - Consultants XTO.
