/KASE, April 27, 09/ - Halyk Savings Bank of Kazakhstan (Almaty), a company listed on the Kazakhstan Stock Exchange (KASE), provided KASE with a notification: Quotation beginning Regarding international coupon bonds issued by HSBK (Europe) B.V. (hereafter - "Issuer") for a total of USD300,000,000 with maturity on May 13, 2013, ISIN - XS0253878051 (hereafter - "Bonds") under 100 % guarantee of Halyk Savings Bank of Kazakhstan JSC (hereafter - "Guarantor"), listed on KASE (sector - "debt securities", category - "rated debt securities (supreme category)") Herewith, we inform on change of the Issuer on the Bonds, effective April 24, 2009 according to a procedure specified below. Terms and regulations of the Bonds are set by the trust management agreement (hereafter - "Trust management agreement"), concluded on May 11, 2006 between the Issuer, Guarantor and J.P. Morgan Corporate Trustee Services Limited, as a trust manager, whose functions later were assumed by BNY Corporate Trustee Services Limited, as a legal successor (hereafter - "Trust manager"). On April 24, 2009 in accordance with article 13 (Change and substitution) of the Trust management agreement the Issuer, the Guarantor and the Trust manager entered into a Trust management agreement (hereafter - "Trust management agreement"). According to terms of the Additional agreement the Guarantor agrees to substitute the Issuer in the capacity of the main debtor on the Trust management agreement and Bonds and undertakes to assume obligations in the capacity of the Issuer on the Trust management agreement and Bonds. According to the Additional agreement the Guarantor is released of all its obligations in the capacity of the guarantor regarding obligations of the Issuer on the Trust management agreement and Bonds, and the Issuer is released of all its obligations in the capacity of the Issuer on the Trust management agreement and Bonds. Also on April 24, 2009 the Issuer, the Guarantor and The Bank of New York Mellon, in the capacity of a legal successor of JPMorgan Chase Bank, N.A. regarding the Bonds and the main payment agent entered into an additional agreement (hereafter - "Additional agent agreement") to an agent agreement on the Bonds dated May 11, 2006 (hereafter - "Agent agreement"), according to terms of which the Guarantor shall substitute the Issuer and assume its obligations in the Agent agreement.
