Shareholders of PAVLODARENERGO JSC (Kazakhstan) decide to create Judicial agency Garant-Energo JSC

/IRBIS, Valeriya Grishenko, March 11, 09/ - PAVLODARENERGO JSC (Pavlodar, further - the company), securities of which are listed on Kazakhstan Stock Exchange (KASE), provided KASE with a copy of protocol of extraordinary general shareholders meeting, dated February 23, 2009. According to provided document, shareholders of the company made the following decisions: - to reorganize PAVLODARENERGO JSC by means of splitting-off the new company - Judicial agency Garant-Energo JSC; - to confirm separation balance sheet between PAVLODARENERGO JSC and Judicial agency Garant-Energo JSC; - to set the authorized capital of Judicial agency Garant-Energo JSC , amounting KZT63,650,000, authorized shares - 636,50 units, offering price - KZT100 per share. Procedure and conditions of transferring assets and obligations according to separation balance sheet to Judicial agency Garant-Energo JSC are determined; - to register the declared shares of Judicial agency Garant-Energo JSC; - to select Zerde JSC as a registrar of Judicial agency Garant-Energo JSC; - to elect A. Zinkevich as an authorized person to sign documents for government registration on behalf of Judicial agency Garant-Energo JSC and conduct financial and economic activity of the company; - to determine Business and otsenka LLP as an evaluator, to evaluate property to pay the authorized capital of Judicial agency Garant-Energo JSC; - to confirm the charter of Judicial agency Garant-Energo JSC.
