Changes in Agricultural credit corporation JSC (Kazakhstan) Board of directors' composition

/IRBIS, Natalya Vaguina, January 8, 09/ - Agricultural credit corporation JSC (Astana), bonds of which are traded in Kazakhstan Stock Exchange (KASE) official list, the first sub-category of category "Non-rated debt securities", provided KASE with the extract from the minutes of its Board of directors` meeting, dated December 3, 2008. According to the provided document, company's Board of directors made the following decisions: - due to admission of lapsed Resolution # 1286 of the Government of Republic of Kazakhstan, dated December 26, 2006 "On some questions of independent directors of joint stock companies, which majority holding owned by the Government" recognize as lapsed: - rules of selection of independent directors of subsidiary joint stock companies of National Holding KazAgro JSC, established by the decision # 15 of correspondence Board of directors` meeting of the National Holding, dated December 24, 2007; - decision # 15 of correspondence Board of directors` meeting of the National Holding, dated December 24, 2007 in the part of establishing the staff of Independent Selection Committee of directors of subsidiary joint stock companies of National Holding KazAgro JSC; - to recommend to the Board of National Holding KazAgro JSC to work out and confirm the correspondence rules for to initiate transparency and objectiveness of reserve procedure of independent directors of subsidiary joint stock companies of National Holding KazAgro JSC; - prematurely terminate the authorities of A. Smailov as a member of the Board of directors of joint stock companies NC Prodcorporation, Agricultural credit corporation, Kazagromarketing and O. Danilenko as a member of the Board of directors - independent director of NC Prodcorporation; - to elect A. Mamytbekov as a Chairman of the Board of National Holding KazAgro, the member of Board of directors of joint stock companies NC Prodcorporation, Agricultural credit corporation, Kazagromarketing and S. Kulmaganbetov as a member of Board of directors of NC Prodcorporation; - to consider the date of effectiveness of the current decision as the term of powers starting date of newly elected members of Board of directors of joint stock companies NC Prodcorporation, Agricultural credit corporation, Kazagromarketing till the date of expiration of established term of powers of the Board of directors.
