Board of directors of VITA JSC (Kazakhstan) adopted a decision to conclude a large deal with Bank CenterCredit JSC

/KASE, March 25, 07/ -VITA JSC (Almaty, the company), bonds of which are traded in Kazakhstan stock exchange's (KASE) official "А" listing category, provided KASE with a copy of minutes of the meeting of its Board of directors, which took place on February 27, 2007. According to the presented document the company's Board of directors adopted the following decisions: - to close a large deal with Bank CenterCredit JSC; - to conclude a contract with Bank CenterCredit JSC about providing banking guarantee in favor of Development Bank of Kazakhstan JSC for a period until July 29, 2011 for a total of 14,365,545 U.S. dollars with interest rate of 3.5% APR; - to give Bank CenterCredit JSC a pledge with the right of extra-judicial sale as a security of a proper execution of company's obligations by the banking guarantee; - to open а bill of credit in Bank CenterCredit JSC with a term until May 30, 2007 for a total of 1,575,000 U.S. dollars with the further post- financing for 3 months; - to give Bank CenterCredit JSC a pledge with the right of extra-judicial sale as a security of a proper execution of company's obligations by the bill of credit; - to conclude a contract with Bank CenterCredit JSC about providing with payment guarantees in favor of BASF for a period till December 15, 2007 for a total of 115,752 euro and 417,144 euro according to contracts # 06/11/11 KAS and # 06/11/10 KAS dated November 14, 2006, concluded with BASF AKTIENGESELLSCHAFT and BASF AGRO BV; - to give Bank CenterCredit JSC a collateral with the right of extra-judicial sale as a security of a proper execution of company's obligations by the payment guarantee; - to conclude a contract with Bank CenterCredit JSC about providing with the payment guarantee in favor of KazAgroFinance JSC for a term of 12 months for a total of KZT67 m. with interest rate of 3.5% APR; - to give Bank CenterCredit JSC a collateral with the right of extra-judicial sale as a security of a proper execution of company's obligations by the payment guarantee.
