Shareholders of Exploration Extraction KazMunayGas (Kazakhstan) decided to pay 382.0 tenge dividends per share for year 2005 and choose the independent directors

/KASE, September 7, 06/ - Exploration Extraction KazMunayGas JSC (Astana, further - Company), common shares of which are included into Kazakhstan stock exchange's (KASE) "A" category official list, provided KASE with cope of protocol of annual general meeting of shareholders, which took place on August 28 2006. According to the agenda of the meeting, shareholders of the company confirmed its consolidated audited financial report for year 2005, dividend policy and projects of statuses of optional program of company and also decided the following: - net income of the company for year 2005 in total KZT45,074.6 m. distribute by next way: KZT18,025.5 m. move to the payment of dividends, KZT27,049.1 m. left in company as undisposed income; - size of dividends in per one share (common or preferred) set in sum of KZT382.0; - date of beginning of dividends' payment is October 10 2006, date of composition of list of shareholders, who have a right on receiving the dividends - August 28 2006; - before beginning of dividends' payments coordinate and receive the written agreement of buyer on payment of dividends for year 2005 to the total of KZT18,025.5 m. in accordance with point 29.14 "Dividends" of the extra agreement from April 28 2005, made between company, UTEXAMLIMITED and ESOMET SAS; - General director of the company in the set order to provide the execution of above mentioned decisions and publish the decision about payment of dividends in the sources of mass media; - determine the staff of the Board of directors of company in amount of 8 persons; - choose as independent members of Board of directors of company Paul Manduk, Christopher Mackenzie and Edward Thomas Wolsh with terms of authorities, not exceeding terms of authorities of the earlier chosen members of Board of directors; - approve the decision of Board of directors of company form July 25 2006 about deal with Ozen-Yeles LLP, in making of which company is interested, about partly maturity of the debt; - to make a deal, in which company is interested - deal about interactions between NC KazMunayGas JSC and company. Company's primary activities are exploration and survey works, development of oil, gas and gas-condensate fields; production and transportation of oil and gas; initial oil preparation and gas refining, sale of hydrocarbon raw stuff and products of its refining.
