/KASE, June 4, 2019/ – Tengri Bank (Almaty), whose securities are officially
listed on Kazakhstan Stock Exchange (KASE), has informed KASE about the
following:

On May 31, 2019 at a joint meeting of shareholders of Tengri Bank, AsiaCredit
Bank and Capital Bank Kazakhstan, the reorganization of the three financial
institutions in form of a merger of AsiaCredit Bank and Capital Bank Kazakhstan
with Tengri Bank was approved.
Coefficients of shares swapping and stakes of the three banks in the united
bank are supposed to be approved at the beginning of July 2019 based on results
of opinion of international financial consultants following assessment of the
three banks' net assets.
