the following press release dated February 27, 2019:

Today, NC KazMunayGas JSC ("Issuer") and KazMunaiGas Finance Sub B.V. ("KMG
Finance") announce their offer to each holder of the following bonds:
- U.S. $500,000,000 3.875% NOTES DUE 2022 (Reg S ISIN: XS1595713279; Rule 144A
ISIN: US48667QAM78) ("Notes 2022"), of which U.S. $500,000,000 remain
outstanding;
- U.S. $1,000,000,000, 4.40% NOTES DUE 2023 (Reg S ISIN: XS0925015074; Rule 144A
ISIN: US46639UAA34) ("Notes 2023"), of which U.S. $406,564,000 remain
outstanding;
- U.S. $1,000,000,000, 4.75% NOTES DUE 2027 (Reg S ISIN: XS1595713782; Rule 144A
ISIN: US48667QAN51) ("Notes 2027"), of which U.S. $1,000,000,000 remain
outstanding; and
- U.S. $1,250,000,000, 5.75% NOTES DUE 2047 (Reg S ISIN: XS1595714087; Rule 144A
ISIN: US48667QAP00) ("Notes 2047"), of which U.S. $1,250,000,000 remain
outstanding,
to concent to make certain solicitated changes ("Proposed Changes"), ("Consent
Solicitation Offer"), in (i) the terms of Notes 2022, (ii) the terms of Notes
2023, (iii) in the terms and conditions of Notes 2027, (iv) the terms and
conditions of Notes 2047 and (v) in the provisions of fiduciary management
agreements forming Notes 2022, Notes 2023, Notes 2027 and Notes 2047 in accordance
with detailed description in the Consent Solicitation Memorandum (according to
the below definition) ("Change Proposal").
Consent Solicitation Offer was made on the terms set forth in the Consent
Solicitation Memorandum dated February 27, 2019 ("Consent Solicitation Memorandum").
To vote for Consent Solicitation Offer, holders of notes must submit Voting
Instructions to Buyback and Voting Agent by the time indicated in relevant Meeting
Notice dated March 27, 2019 ("Voting Deadline") or take other measures for voting
at the relevant Meeting to be held at the time indicated in respective Meeting
Notice dated March 29, 2019.
