Shareholders of Kazakhtelecom JSC (Kazakhstan) introduced changes in charter of Board of directors and approved a deal, in conclusion of which there is an interest

/KASE, December 22, 06/ - Kazakhtelecom JSC (Astana, the company), shares of which are traded in Kazakhstan stock exchange's (KASE) official "А" listing category, has presented to KASE a copy of minutes of the special general meeting of shareholders, which was held on December 16, 2006. According to the presented minutes, company's shareholders adopted the following decisions: - to insert changes and additions to company's charter; - to insert changes and additions in the regulations about company's Board of directors; - to determine the staff of company's Board of directors 11 people in number; - to additionally elect the following people in the staff of the Board of directors for a term, provided by company's charter: K. Yesekeeva (Holding Samruk JSC), V. Popova (Holding Samruk JSC), Lim Tun (Holding Samruk JSC), A. Alshynbayeva (Central Asian Industrial Holdings N.V.); - to take into consideration the point that in accordance with company's charter A. Zhumagaliyev, being the President of the company, by his position enters the staff of company's Board of directors; - to render a free of charge access to Internet for the state schools of Kazakhstan, which are financed at the expense of the state budget, at Kazakhstan segment of Internet; - to delegate to company's Board the elaboration and introduction of discount system for the state schools of Kazakhstan, which are financed at the expense of the state budget, at the entrance of the international segment of Internet and submit for discussion of the Board of directors; - to approve strategic directions of company's development for 2007- 2011; - to make interest payment for function execution of a member of company's Board of directors only to independent directors, elected in company's Board of directors; - to conclude a deal with Altel JSC on company's rendering of financial aid in the amount of KZT898,010,000 for a term of 6 months from the moment of rendering.
